Régimen de autorización particular. La Superintendencia de Sociedades autorizará de manera previa a través de acto administrativo, a las sociedades que tomen la decisión de emitir acciones con dividendo preferencial sin derecho a voto o de acciones privilegiadas a través de la decisión del máximo órgano social y siempre que cumplan con alguno de los siguientes supuestos:
