º . Naturaleza jurídica de Cerrejón Zona Norte S.A. La sociedad Cerrejón Zona Norte S.A. será una sociedad anónima del orden nacional vinculada al Ministerio de Minas y Energía, con personería jurídica, autonomía administrativa y patrimonio independiente. Su domicilio principal será la ciudad de Santa Fe de Bogotá. La junta directiva podrá establecer sucursales en otras ciudades.

Parágrafo

En el evento de vinculación mayoritaria de capital privado a Cerrejón Zona Norte S.A., la misma se sujetará a las reglas de las sociedades comerciales.
