La ratificación expresa de las partes dando cumplimiento a las solemnidades pertinentes perfeccionará el acto inexistente en la fecha de tal ratificación, sin perjuicio de terceros de buena fe exenta de culpa.
Será inexistente el negocio jurídico cuando se haya celebrado sin las solemnidades sustanciales que la ley exija para su formación, en razón del acto o contrato y cuando falte alguno de sus elementos esenciales.
