Los gerentes o directores que, en ejercicio de sus funciones, celebren contratos con personas que se hallen inhabilitadas para ello por la Constitución o la ley, serán sancionados con la destitución. La misma sanción se aplicará cuando el contrato se celebre con un pariente, dentro del segundo grado de consanguinidad o primero de afinidad o civil, o con un socio, en sociedad distinta de la anónima, de quien designó al respectivo gerente o director.
