ARTICULO 2.3.1.13.- AUTORIZACION PARA LA EMISION DE BONOS OBLIGATORIAMENTE CONVERTIBLES EN ACCIONES. No obstante lo anterior, corresponderá a la Superintendencia de Sociedades autorizar la emisión de bonos obligatoriamente convertibles en acciones por parte de las sociedades sometidas a su inspección y vigilancia, cuando se cumplan las siguientes condiciones

Que la emisión no se coloque por oferta pública, y

Que las acciones de la sociedad emisora no estén inscritas en el Registro Nacional de Valores e Intermediarios y que no se requiera su inscripción en una bolsa de valores, de conformidad con el artículo 2.3.1.4. del presente Estatuto.
