Carbones de Colombia S.A., como empresa comercial e industrial del Estado, conservará su actual estructura de sociedad pero la totalidad de sus acciones deberá pertenecer en todo tiempo a entidades descentralizadas del orden nacional. En consecuencia, en cualquier transformación o fusión de la entidad o en toda cesión del interés social o del derecho de suscribir acciones, deberá conservarse el carácter íntegramente oficial de su capital.
