° De conformidad con el Código de Comercio, y sin perjuicio de las otras reservas que puede decretar la asamblea de accionistas, ésta podrá constituir e incrementar una reserva con aquella parte de las utilidades líquidas del ejercicio que, una vez pagado el dividendo mínimo preferencial, hubiera podido ser distribuida entre los accionistas ordinarios, sin tener que pagar un dividendo adicional a los accionistas con dividendo preferencial. La distribución de dicha reserva en un ejercicio posterior al de su constitución o incremento, no se tendrá en cuenta para efectos del límite a que se refiere el inciso final del artículo 33 de la Ley 27 de 1990.
