La aceptación expresa deberá ser incondicional, pero podrá limitarse a una cantidad menor a la expresada en la factura, de acuerdo con los bienes entregados real y materialmente o los servicios efectivamente prestados. Lo anterior no impide a las partes convenir la expedición de una nueva factura.
