La Junta Directiva estará integrada por los siguientes miembros:

a)

El Ministro de Minas y Energía, o su delegado, quien la presidirá;

b)

Dos (2) representantes del Presidente de la República, con sus respectivos suplentes personales, y

c)

Dos (2) miembros designados por los accionistas, cada uno con un (1) suplente personal.

El Gerente General tendrá el carácter de empleado público y será de libre nombramiento y remoción por el Presidente de la República.
