ARTICULO 2.3.1.12.- AUTORIZACION DE LA EMISION. Toda emisión de bonos por parte de una sociedad sometida a la inspección y vigilancia de la Superintendencia de Sociedades deberá ser autorizada previamente por la Superintendencia de Valores. La resolución respectiva ordenará, cuando sea del caso, la inscripción de los bonos en el Registro Nacional de Valores e Intermediarios y autorizará su oferta pública. La Superintendencia de Valores informará a la Superintendencia de Sociedades acerca de las autorizaciones que haya impartido para emitir bonos.

Parágrafo

Lo anterior se entiende sin perjuicio de lo previsto en el artículo 4.1.1.3. del presente Estatuto.
