Cuando se estipule que el pago del precio se hará contra entrega del conocimiento de embarque, solo o acompañado de otros documentos, el comprador no está obligado a recibirlos y efectuar dicho pago sino al serle entregados dentro del plazo estipulado o usual y, en defecto de uno y otro, en uno prudencial. El vendedor deberá indemnizar los perjuicios que al comprador cause el retardo en la entrega de los documentos.
