Para la liquidación de "Mineros del Chocó S.A." la Junta Directiva de la Empresa "Metales Preciosos del Chocó S.A." podrá nombrar un liquidador especial, delegando en él la representación legal de la empresa en liquidación. El liquidador ejercerá sus funciones a partir de la fecha de aceptación de su nombramiento, con las obligaciones y facultades que la Junta Directiva de "Metales Preciosos del Chocó S.A." le delegue, sin otras formalidades; el liquidador no estará sujeto a inhabilidades, incompatibilidades, o prohibiciones especiales previstas en la ley para los liquidadores de sociedades comerciales.
