Disuelta la sociedad se procederá a la liquidación de su patrimonio conforme con las disposiciones legales y, en especial, con las normas contenidas en la Ley 45 de 1923, Ley 45 de 1990 y disposiciones concordantes. Sin perjuicio de lo previsto en dichas disposiciones especiales, hará la liquidación el último Presidente mientras que la Asamblea General no designe la persona o personas que hagan la liquidación.
