El pago de las acciones que se emitan no puede nacerse sino llevando al fondo social nuevos aportes, o capitalizando utilidades. En este ultimo caso se requiere acuerdo de la asamblea general de accionistas aprobado con el voto de la totalidad de las acciones suscritas, salvo que en los estatutos se haa estipulado una mayoría especial.
