El derecho de negociar las acciones libremente no admite más limitaciones que el retracto, si así se pactare. En los estatutos deberá indicarse la extensión del derecho de retracto, esto es, los actos de transferencia que pueden ser afectados con el mismo; los plazos dentro de los cuales deban hacer uso del derecho de retraer la sociedad o los accionistas, y la manera de determinar el precio de las acciones.
