Decreto 1760 de 2003 · por el cual se escinde la Empresa Colombiana de Petróleos, Ecopetrol, se modifica su estructura orgánica y se crean la Agencia Nacional de Hidrocarburos y la sociedad Promotora de Energía de Colombia S. A.

Junta Directiva. La Junta Directiva de la Sociedad Promotora de Energía de Colombia S. A. estará integrada por tres (3) miembros, así: Un (1) miembro con su respectivo suplente, nombrado por el Presidente de la República. Dos (2) miembros que serán elegidos por la Asamblea General de Accionistas con sus respectivos suplentes. Las funciones de la Junta Directiva serán las que señalen los estatutos en los cuales se establecerá la periodicidad de sus reuniones, el quórum y demás condiciones.

Parágrafo

Los miembros de la Junta Directiva estarán sometidos al régimen de inhabilidades, incompatibilidades y responsabilidades previstas en la Constitución, la ley, el Decreto 128 de 1976 y demás normas concordantes que lo modifiquen o sustituyan.
