Toda persona que negocia un instrumento por entrega o por un endoso cualificado garantiza:

1° Que el instrumento es auténtico y su significado conforme con su texto por todos aspectos;

2° Que tiene un buen título sobre dicho instrumento;

3° Que todas las partes anteriores tienen capacidad de contratar;

4° Que no tiene conocimiento de ningún hecho que afecte la validez del instrumento o lo haga nulo.

Cuando la negociación se hace únicamente por entrega, la garantía no se extiende en favor de un tenedor distinto del inmediato cesionario.
