Salvo estipulación en contrario, el socio que pretenda ceder sus cuotas las ofrecerá a los demás socios por conducto del representante legal de la compañía, quien les dará traslado inmediatamente, a fin de que dentro de los quince días siguientes manifiesten si tienen interés en adquirirlas. Transcurrido este lapso los socios que acepten la oferta tendrán derecho a tomarla a prorrata de las cuotas que posean. El precio, plazo y demás condiciones de la cesión se expresarán en la oferta.
