Cuando la sociedad no pudiere continuar con los herederos de un socio fallecido y se hubiere estipulado la continuación con los socios sobrevivientes, deberá liquidarse y pagarse de inmediato el interés de dicho socio por el valor que acuerden las partes, y en su defecto, por el que fijen peritos designados por ellas, debiéndose solemnizar la correspondiente reforma estatutaria.
