Reemplazo de un solo miembro de la Junta Directiva: Si se trata de reemplazar a un solo miembro, ya sea porque renunció o porque es removido por el máximo órgano social y el suplente no puede reemplazarlo, la nueva elección deberá hacerse aplicando el sistema del cociente electoral, eligiendo nuevamente la totalidad de la junta directiva a menos que la(s) vacante(s) se provea(n) por unanimidad o por la totalidad de las cuotas o acciones que conforman el capital de la sociedad.
