Son promotores quienes hayan planeado la organización de una empresa y presentado estudios técnicos de su factibilidad. Dichos promotores responderán solidaria e ilimitadamente de las obligaciones contraídas para constituir la sociedad y si ésta no se perfecciona, carecerán de toda acción contra los presuntos constituyentes.
