La declaración judicial de nulidad de la sociedad no afectará los derechos de terceros de buena fe que hayan contratado con ella.
Ningún tercero podrá alegar como acción o como excepción que la sociedad es de hecho para exonerarse del cumplimiento de sus obligaciones. Tampoco podrá invocar la nulidad del acto constitutivo ni de sus reformas.
