Art. 37. Las sociedadades ó compañias no anónimas domiciliadas fuera del país, que tengan ó establezcan empresas ó negocios de carácter permanente en el territorio de la República, protocolizaran un certificado del Notario ú Oficial público respectivo en que conste la existencia legal de la sociedad y la persona ó personas que tienen personería para representarlas en juicio. La protocolización se hará en la Notaría del Circuito en donde estuvieren la empresa ó el asiento principal de los negocios.
